PT Denki Automa Indonesia is a professional provider of industrial automation, electrical control systems, and mechanical solutions serving various industries across Indonesia.

"Services"
Industrial automation solutions, electrical control panel design, robotic integration, maintenance, and support services.
"Client"
Any individual or entity that engages our services or uses our website.
"Project"
A specific engagement for automation, electrical, or mechanical services.
"Website"
Our online presence at denki-automa.co.id and associated digital platforms.

3. Services and Project Engagement

3.1 Service Scope

Our services include but are not limited to:

  • Industrial Automation Systems
  • Custom PLC Programming
  • HMI Design and SCADA Systems
  • Electrical Control Panel Design and Fabrication
  • Robotic Integration
  • Maintenance and Technical Support
3.2 Project Quotations

All project quotations are valid for 30 days from issue date and are subject to:

  • Client requirements verification
  • Site conditions assessment
  • Material availability
  • Mutual agreement on project timeline
3.3 Change Orders

Any changes to project scope after agreement must be documented in writing and may affect project timeline and cost.

4. Payment Terms

4.1 Payment Schedule

Standard payment terms for projects:

  • 50% advance payment upon project acceptance
  • 40% upon project milestone completion
  • 10% upon project completion and acceptance
4.2 Invoicing

Invoices are payable within 30 days of receipt. Late payments may be subject to interest charges of 1.5% per month.

4.3 Taxes

All prices are exclusive of VAT and other applicable taxes unless otherwise stated.

Important: Project commencement requires signed agreement and advance payment as specified in the project quotation.

5. Intellectual Property

5.1 Our Intellectual Property

We retain all intellectual property rights to:

  • Proprietary software and code
  • Design methodologies and processes
  • Technical documentation and manuals
  • Branding and marketing materials
5.2 Client Intellectual Property

Client-provided designs, specifications, and proprietary information remain the property of the client.

5.3 License Grant

Upon full payment, we grant the client a non-exclusive license to use the delivered automation solutions for their intended purpose.

6. Warranties and Liability

6.1 Service Warranty

We provide a standard 12-month warranty on our automation systems and workmanship from project completion date.

6.2 Third-Party Components

Warranties for third-party components (PLCs, sensors, motors, etc.) are provided by their respective manufacturers.

6.3 Limitation of Liability

Our total liability for any claim shall not exceed the total project fee paid by the client. We are not liable for indirect or consequential damages.

6.4 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.

7. Website Usage Terms

7.1 Acceptable Use

You agree not to use our website to:

  • Transmit malicious code or viruses
  • Engage in unauthorized scraping or data collection
  • Impersonate any person or entity
  • Violate any applicable laws or regulations
7.2 Content Accuracy

While we strive for accuracy, we do not warrant that website content is error-free or current.

Both parties agree to maintain the confidentiality of proprietary information exchanged during project engagement, including:

  • Pricing and commercial terms
  • Any information marked as confidential

9. Termination

9.1 Project Termination

Either party may terminate a project with written notice if the other party:

  • Materially breaches the agreement
  • Becomes insolvent or bankrupt
  • Fails to cure a breach within 30 days of notice
9.2 Effects of Termination

Upon termination, the client shall pay for all services rendered and expenses incurred up to the termination date.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These terms are governed by the laws of the Republic of Indonesia.

10.2 Dispute Resolution

Parties agree to attempt amicable resolution of disputes through negotiation before pursuing legal action.

10.3 Jurisdiction

Any legal proceedings shall be conducted in the courts of Bekasi, Indonesia.

11. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
